Nesta dissertação, abordar-se-á de forma clara e o mais abrangente possível aquilo que são as sociedades desportivas, o seu regime jurídico e a relação das mesmas com outras áreas jurídicas. Em primeiro lugar, cabe olhar para aquilo que foram as sociedades desportivas e a evolução do seu regime legal no nosso ordenamento jurídico, comparando-o posteriormente com a realidade de outros países europeus. O atual regime jurídico das sociedades desportivas comporta bastantes alterações em relação aos seus antecessores, pelo que é imprescindível proceder ao seu estudo mais detalhado. Assim, serão analisadas as questões inerentes à constituição das sociedades desportivas, ao capital social, às participações sociais, à sua estrutura orgânica e à sua extinção. Serão naturalmente inevitáveis as comparações constantes com o regime das sociedades presentes no Código das Sociedades Comerciais, designadamente as Sociedades Anónimas e as Sociedades por Quotas. E porque as sociedades desportivas não são uma realidade una e estanque, relacionando-se com outras áreas do Direito, são tecidas algumas considerações relativamente ao regime fiscal específico destas sociedades, bem como à relação das mesmas com os valores mobiliários e mercados financeiros. Aqui serão alvo de especial atenção das ofertas públicas de aquisição. Por fim, reserva-se um capítulo para a natureza jurídica das sociedades desportivas.
In this dissertation, will be explained in the most clear and comprehensive way what sports companies are, their legal system and their relationship with other legal areas. First of all, it is worth looking at what sports companies were in the past and the evolution of their legal system in the portuguese law system, comparing it later with the reality of other European countries. The current legal system of sports companies envolves a lot of changes when compared with its predecessores, so it is important to do a more detailed study. Therefore, it will be analised issues related to sports companies such as their establishment, capital, shareholdings, organizational structure and extinction. It will also be inevitable to compare sports companies with other companies, namely the Share Companies and Limited Liability Companies. Because sports companies are not a united and tight reality and it relates to some other law areas, we make some considerations regarding the specific tax treatment of these companies, as well as the relationship with investment securities and financial markets. Here, we will give special attention to takeover bids. Finally, a chapter is reserved to the legal nature of sports companies.
