Apesar da tendência crescente para a sua desvalorização, o capital social desempenha ainda nos dias de hoje em Portugal um papel decisivo na conformação do regime das sociedades de responsabilidade limitada, servindo de padrão para um lote alargado de matérias, sendo a entrada neste que confere ao investidor que subscreve ações a qualidade de acionista. A esta qualidade de acionista inere um conjunto geral de direitos e obrigações que caraterizam a sua posição jurídica dentro da sociedade, no entanto, este leque de situações jurídicas pode ser moldado, em certa medida, nomeadamente pela criação de direitos especiais, que, nas sociedades anónimas são atribuídos a categorias de ações. Um dos tipos de ações especiais mais importantes são as ações preferenciais sem direito de voto, cujo regime legal em Portugal foi recentemente alterado com vista à sua flexibilização com o intuito de estimular o sector de investimento. Contudo, ficaram algumas questões por resolver.
Despite the growing tendency to its depreciation, the share capital still has nowadays in Portugal a decisive role in the construction of the regime applicable to the limited liability companies, serving as reference to a wide range of matters, being the buy-in in it which gives to the investor that subscribes shares the shareholder condition. To this condition inheres a group of general rights and obligations which characterise its legal status inside the company, however, this variety of legal situations may be shaped, in a certain manner, namely by means of the creation of special rights, which, in public limited companies are attributed to classes of shares. One of the most important types of special shares are non-voting preference shares, whose legal regime in Portugal was recently amended aiming at its flexibilisation in order to stimulate the investment sector, However, some issues remained unsolved.
