A Diretiva Comunitária n.º 90/434/CEE do Conselho, de 23 de Julho, aprovou o regime fiscal comum aplicável às fusões, cisões, entradas de ativos e permuta de participações sociais transfronteiriças, também conhecido por regime de neutralidade fiscal. O regime de neutralidade fiscal prevê o diferimento da tributação incidente sobre as operações de reestruturação. 20 anos após a transposição da Diretiva para a legislação nacional, analisam-se as normas nacionais relevantes, a sua relação com a Diretiva e algumas figuras importantes do regime, como a imposição da constituição de estabelecimento estável nas operações transfronteiriças, o conceito de ramo de atividade, a transmissão de prejuízos fiscais, a cláusula anti-abuso e a prolífera jurisprudência do Tribunal de Justiça da União Europeia sobre o regime – relativamente a operações transfronteiriças e puramente internas. Analisam-se igualmente alguns aspetos de operações de reestruturação cujo enquadramento no regime de neutralidade fiscal nacional é polémico.
The EC Directive n. 90/434/EEC of the Council, dated July 23, approved the common system of taxation applicable to cross-border mergers, divisions, transfers of assets and exchange of shares, also known as tax neutrality. The tax neutrality regime allows the tax deferral of restructuring operations. 20 years after the transposition of the Directive into the Portuguese national law, this paper analyzes the relevant national rules, their relationship with the Directive and some major concepts of the regime, such as the imposition of a permanent establishment in cross- -border operations, the concept of branch activity, the transfer of tax losses, the anti-abuse clause and prolific judgments of European Court of Justice – regarding both cross-border and national operations. This paper will also analyze some controversial aspects associated with restructuring operations.
