Regulatory hurdles in M&A transactions- focus on the HSR act

Resumo:This thesis investigates the intricacies of mergers and acquisitions, specifically emphasizing the impact of the Hart-Scott-Rodino (HSR) Antitrust Improvements Act on the regulatory framework governing these types of deals. Considering the growing globalization of businesses, the research examines the relationship between clearances from the Department of Justice (DOJ) and the Federal Trade Commission (FTC), as well as the effect of transaction size on the likelihood of second request investigations by antitrust authorities. The study makes use of a dataset of transactions covered by the HSR Act and uses descriptive statistics, Pearson correlation analysis, and Chi-square testing to investigate the relationship between regulatory actions, transaction features, and the performance of the participating enterprises.
