Creating a global leader in sustainable packaging: a horizontal merger analysis of Sonoco products company and Huhtamaki Oyj – financial analysis of Huhtamaki Oyj
| Resumo: | This work examines the horizontal merger of Sonoco Products Company and Huhtamaki Oyj, aiming to form a global leader in sustainable packaging and deliver shareholder value amid increasing competition. The potential value creation for shareholders in this strategic combination is assessed. The combined entity's enterprise value is $17.1bn, with standalone enterprise values of $8.4bn (Sonoco) and $5.7bn (Huhtamaki). The combined equity value is $12.5bn, including $3.0bn in synergies. Pro forma revenues of $11.2bn and EBITDA of $1.7bn underscore the merger’s scale. Structured as a stock-for-stock exchange, the deal allocates 50.5% ownership to Sonoco shareholders and 49.5% to Huhtamaki shareholders. |
